Contract
PURPOSE OF JOB
* To advise the Legal Counsel and the wider Senior Management Team (SMT) on all commercial decisions and potential risks which may affect the Franchise.
* To be a solid legal/commercial support, with specific responsibility for the legal interpretation and construction of the Franchise Agreement.
* To liaise and negotiate with DLRL as required.
DIMENSIONS
* To assist the Legal Counsel with managing the Franchisee's compliance with the Franchise Agreement.
* To ensure that the Franchisee is performing its obligations to DLRL under the Franchise Agreement.
* To ensure that necessary sub-contracts are in place and support procurement with the negotiation of contractual terms, so that the Franchisee can deliver fully its obligations under the Franchise Agreement.
* To provide commercial support to the Legal Counsel, the SMT (particularly the Finance and Commercial Director) and the wider Management Team in the delivery of the Franchise obligations.
* To provide general legal advice and, as required, liaise with external legal counsel.
KEY ACCOUNTABILITIES
* To develop a constructive relationship with DLRL which is based on a shared vision of collaboration and consistent delivery of obligations.
* To enhance the legal/commercial function and further embed commerciality throughout the business.
* To advise management on the detail of the Franchise Agreement, identifying risks and opportunities as they arise.
* To advise and support management on general legal queries.
* To liaise closely with the wider management team in relation to negotiations with the client, provide support on negotiating strategies and tactics, attend negotiations and support follow up actions.
* Liaise with the Legal Counsel and with Keolis group legal to ensure best practice and uniformity across the business.
GENERAL SAFETY RESPONSIBILITIES
* Take care of own health and safety at work and that of others.
* Co-operate with on health and safety.
* Correctly use work items provided by the company, in accordance with training or instructions.
* Not interfere with or misuse anything provided for health, safety or welfare.
* Exercise good housekeeping of working environment.

*Cultivate and promote a strong safety culture within the department and business.
* Help to ensure that the workplace environment meets the company's safety standards.
ESSENTIAL / DESIRABLE EXPERIENCE / QUALIFICATIONS
* Experience at a senior commercial level of working within a service delivery organisation.
* Experience of operating within complex contract arrangements in a commercial environment with a focus on delivery.
* Experience of managing contract compliance and assessing/minimising business risk.
* Experience of maximising business potential by developing opportunities.
* In depth knowledge of contract law required.
* The ability to form excellent relationships both internally and externally.
Qualification: Qualified solicitor.
